These terms govern use of the TopOff mobile application, website, and related services (the "Service") provided by TopOff Fleet Intel Inc. ("TopOff," "we," "us"). By using the Service you agree to these terms. If you're using the Service on behalf of a fleet or company, you represent that you're authorized to bind that organization, and "you" includes it.
TopOff helps work fleets fuel at better prices: the app recommends fuel stops, drivers log fill-up intents with one tap, and savings are computed by reconciling those intents against fuel-card transaction data supplied by the fleet. TopOff is an information and analytics service, we are not a payment processor, fuel card issuer, bank, or money transmitter, and we never hold or move funds. Any driver bonuses are calculated by the Service but paid by the fleet through its own payroll.
Don't misuse the Service. That includes: attempting to game or falsify savings or bonuses; probing, scraping, or disrupting the Service; reverse engineering non-open components; using the Service to build a competing dataset; or uploading unlawful content. We may suspend access that threatens the Service or other customers.
Displayed pump prices come from third-party sources and change constantly; they're estimates for decision support, shown with their observed freshness, and not a guarantee of the price at the pump. Verified savings figures are computed from the fleet's own card transaction data against market baselines as described in our methodology; they are provided for operational and reporting purposes.
Our privacy policy describes what we collect and how we use it. Fleet data stays in the fleet's workspace; we don't sell personal data and we don't run advertising. Card transaction data supplied by the fleet is used solely to verify fill-ups and compute savings.
Pilot programs are provided free of charge, without obligation, and either party may end a pilot at any time. Paid subscriptions, when offered, will be governed by an order form or agreement that references these terms.
The Service, including software, design, and content, is owned by TopOff Fleet Intel Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal fleet operations. Feedback you send us may be used to improve the Service without obligation.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PRICE DATA WILL BE ACCURATE.
TO THE FULLEST EXTENT PERMITTED BY LAW, TOPOFF WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF $100 OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM.
You may stop using the Service at any time. We may suspend or end the Service (or these terms) with reasonable notice, or immediately for material breach. Sections 4-5 and 7-12 survive termination.
We may update these terms; material changes will be noted here with a new date, and active fleets will be informed by email. Continued use after changes means acceptance.
These terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Courts located in Delaware have exclusive jurisdiction, and each party consents to venue there.
